Welcome to Sea Whip Properties LLC. These Terms of Service ("Terms") govern your access to and use of the website located at www.seawhipproperties.com (the "Site"), our online inquiry and booking tools, and the related services we provide (collectively, the "Services"). The Site and Services are operated by Sea Whip Properties LLC ("Sea Whip," "we," "us," or "our"), a Florida limited liability company located at 23223 Front Beach Road, Panama City Beach, FL.

Please read these Terms carefully. By accessing the Site, submitting an inquiry, requesting a quote, making a booking, or otherwise using the Services, you ("you," "Guest," or "user") agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or Services.

1. Eligibility

You must be at least 18 years old to use the Site, and at least 25 years old to book or be the primary guest on any reservation. By using the Services, you represent that the information you provide is accurate and complete and that you have the legal authority to enter into these Terms on your own behalf and on behalf of anyone else included in your reservation.

2. The Site and the Services

The Site provides information about our vacation rental properties in and around Panama City Beach, Florida, and allows you to view availability, request quotes, submit inquiries, and make reservations. Our booking platform is provided by OwnerRez and online payments are processed by Stripe. Reservations may also be made through third-party channel partners such as Airbnb, Vrbo, and Booking.com, in which case the terms of that platform also apply.

We use reasonable efforts to keep Site content accurate and current, but we do not warrant that all information is error-free. Rates, fees, taxes, photos, descriptions, and availability are subject to change and to correction until a reservation is confirmed in writing.

3. Reservations and the Rental Agreement

A reservation is not confirmed until (a) you have submitted the required information, (b) you have agreed to these Terms and any separate Rental Agreement we provide, and (c) we have received and processed the required deposit.

We reserve the right to refuse service, and to decline, cancel, or terminate any inquiry, quote, reservation, or stay, at any time, for any reason or no reason, in our sole and absolute discretion. This right is not limited and includes, by way of example only and without limitation, suspected fraud, misrepresentation of guest identity, count, age, or purpose, prior policy violations, conduct we deem inconsistent with our community or our properties, third-party channel-partner requirements, payment issues, or where required or advisable under applicable law. No example listed in these Terms is intended to limit this right.

After booking, you will be required to sign a separate Rental Agreement that governs the actual use of the property, including check-in procedures, house rules, occupancy, pets, smoking, parking, cancellations and refunds, security, and similar operational matters. The Rental Agreement is a separate, controlling document. Under no circumstances do these Terms supersede, override, modify, or limit the Rental Agreement in any way. If there is any conflict, inconsistency, ambiguity, or overlap between these Terms and the Rental Agreement, the Rental Agreement controls in every respect, without exception. Nothing in these Terms shall be interpreted to grant a Guest any right that the Rental Agreement does not grant, or to relieve a Guest of any obligation that the Rental Agreement imposes.

4. Payments

Payments for reservations booked directly through the Site are processed by Stripe. By providing payment information, you authorize us, through Stripe, to charge the payment method on file for all amounts owed in connection with your reservation, including any post-stay charges permitted under the Rental Agreement. Payment schedules, deposits, balances, refunds, cancellations, taxes, and any related fees are governed by the Rental Agreement and, where applicable, by the booking platform through which you reserved.

We do not store full payment card numbers. Payment data is collected and stored by Stripe under PCI-DSS standards, as further described in our Privacy Policy.

5. Acceptable Use of the Site

You may use the Site only for lawful, personal, non-commercial purposes related to learning about, inquiring about, or booking our properties. You agree not to:

6. Intellectual Property

All content on the Site — including text, photographs, graphics, logos, designs, layouts, property descriptions, and the overall "look and feel" of the Site — is owned by or licensed to Sea Whip Properties LLC and is protected by U.S. and international copyright, trademark, and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view and use the Site for the personal purposes described in these Terms. All other rights are reserved.

7. User-Submitted Content

If you submit a review, photo, comment, message, or other content to us or through any of our booking channels ("User Content"), you represent that the content is your own and does not violate any law or third-party right. You grant us a perpetual, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, display, distribute, and create derivative works of your User Content in connection with our business, including marketing. We may, but are not obligated to, monitor, edit, or remove User Content at our discretion.

8. Third-Party Services and Links

The Site links to and integrates with third-party services, including OwnerRez, Stripe, PriceLabs, Google, Meta, Airbnb, Vrbo, and Booking.com. We do not control and are not responsible for the content, policies, availability, or practices of those services. Your use of any third-party service is at your own risk and is governed by that third party's terms and privacy policy.

9. Electronic Communications

By submitting an inquiry, making a booking, or otherwise providing your contact information, you consent to receive communications from us by email, phone, and SMS text message. Message and data rates may apply. You can opt out of marketing messages by replying STOP to a text, clicking the unsubscribe link in a marketing email, or emailing info@seawhipproperties.com. Transactional messages related to an active reservation are not subject to opt-out.

10. Disclaimers

To the maximum extent permitted by law, the Site and Services are provided "as is" and "as available," with all faults and without warranty of any kind, express or implied. We disclaim all warranties, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the Site will be uninterrupted, secure, or error-free, or free of viruses or other harmful components. Any reliance on Site content is at your own risk until your reservation is confirmed in writing.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Sea Whip Properties LLC, its owners, members, managers, employees, contractors, or service providers be liable to you or any third party for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, business interruption, or personal injury or property damage, arising out of or related to your use of the Site or Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for all claims arising out of or related to the Site and Services will not exceed the greater of the amount you actually paid to us for the specific reservation giving rise to the claim or one hundred U.S. dollars ($100). Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Sea Whip Properties LLC and its owners, members, managers, employees, contractors, agents, and service providers from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Site or Services, (b) your User Content, (c) your breach of these Terms, or (d) your violation of any law or third-party right.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. The exclusive venue for any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or the Services is the state or federal courts located in Bay County, Florida, and you consent to the personal jurisdiction of those courts. Disputes arising under the Rental Agreement are governed by the dispute-resolution provisions of that Rental Agreement, which control.

Before filing any legal action, you agree to first contact us at info@seawhipproperties.com and make a good-faith effort to resolve the dispute informally.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date at the top and post the revised Terms on the Site. Material changes will be communicated through a notice on the Site. Your continued use of the Site or Services after changes are posted constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Site or Services at any time, with or without notice, in our sole discretion. Sections that by their nature should survive — including Sections 6, 7, 10, 11, 12, and 13 — will survive termination.

16. Entire Agreement; Order of Precedence

These Terms, together with our Privacy Policy and the Rental Agreement applicable to any reservation, constitute the entire agreement between you and Sea Whip regarding the Site and the Services. In the event of any conflict or inconsistency between these Terms and the Rental Agreement, the Rental Agreement controls in all respects and without exception. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force, and the unenforceable provision will be enforced to the maximum extent permitted by law. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, sale of assets, or similar transaction. Electronic acceptances (including clicking "I agree" or paying a deposit) have the same legal effect as handwritten signatures.
